As a stockholder of Sport Supply Group, Inc. (the "Company"), you are hereby given notice of, and invited to attend, our Annual Meeting of Stockholders to be held at LaCima Club, The Tower at Williams Square, Suite 2600, 5215 North O’Connor Road, Irving, Texas 75039 on Thursday, August 5, 2004 at 1:00 p.m., Central Time.

At the annual meeting, you will be asked to:

• Elect the Company’s Board of Directors to serve a one-year term or until their successors are elected and qualified; and
• Transact such other business as may properly come before the meeting.

The Board of Directors has fixed the close of business on July 8, 2004 as the record date for determining stockholders entitled to notice of and to vote at the annual meeting. A list of the stockholders entitled to vote at the annual meeting will be made available for examination at least ten days prior to the meeting date at the Company’s principal offices at 1901 Diplomat Drive, Farmers Branch, Texas 75234.
